BACKGROUND AND PURPOSE OF THE PROCUREMENT Pääkaupunkiseudun Junakalusto Oy (hereinafter referred to as "Junakalusto Oy") arranges competitive tendering for the procurement of the overhaul of HVAC units of Sm5 train units. With this invitation to participate, Junakalusto Oy requests interested parties to participate in a tender competition, which will be carried out through a negotiated procedure as further described. Junakalusto Oy has procured 81 Stadler Flirt train units whose national type name is Sm5. All Sm5 train units have been delivered by Stadler Bussnang AG in 2009 – 2017. Junakalusto Oy's basic objective is to ensure that the value and quality of Sm5 train units including their components is preserved, and to secure controlled development of Sm5 train units and components during their entire lifetime. In addition, Junakalusto Oy's objective is also the reduction of the maintenance cost, operating cost and life cycle costs of Sm5 train units. The purpose of the procurement is to agree on the overhauls to be performed by the selected Seller. The Seller shall carry out and deliver the overhauls of the HVAC units in accordance with all terms and conditions of the final invitation to tender. OBJECT OF THE PROCUREMENT The object of the procurement is the overhaul of the HVAC units for 41 Sm5 trains (so called OV2 Overhaul). One train unit includes two (2) drivers cab HVAC units and four (4) saloon HVAC units. In addition, the Buyer has four (4) Saloon HVAC units and two (2) Driver’s cab HVAC units as spare parts. The manufacturer of the HVAC units is Faiveley Transport Leipzig GmbH & Co. KG. The overhauls shall be performed during 2025 - 2030 as described in the Draft Agreement (Annex 1). This is a preliminary schedule and the final schedule (contract period) will be determined in the final invitation to tender based on the negotiation phase. There are two alternatives for the implementation of the overhauls: Alternative 1: Overhaul is implemented on Sm5 train units at Helsinki depot (Veturitie 44, 00240 Helsinki) without removing the HVAC units from the trains. Alternative 2: Overhaul is implemented at the plant of the Seller in which case the Buyer will arrange the removal of the HVAC units from the trains and their installation back to the trains. Junakalusto Oy will take into account the alternative implementations in the evaluation of the tenders as described more detailed in the final invitation to tender. A more detailed scope and terms of the overhaul have been specified in the following annexes: - Annex 1: Draft Agreement - Annex 1.1: Preliminary scope of the overhaul of the HVAC units - Annex 1.3: Price Annex DOCUMENTS REQUIRED IN THE REQUEST TO PARTICIPATE Candidate must fill in the request to participate according to the instructions of the invitation to participate and include the filled reference form (Annex 2) to the request to participate. For the sake of clarity it is stated that preliminary tender will not be submitted in this pre-qualification phase.

THE PROGRESS OF THE NEGOTIATED PROCEDURE A. Participation phase 1. With this invitation to participate, Junakalusto Oy requests interested parties to participate in a tender competition. 2. Junakalusto Oy will select up to five (5) candidates to advance to the negotiation phase based on the criteria presented in this invitation to participate. B. The negotiation phase 3. Junakalusto Oy sends a preliminary invitation to tender and a negotiation invitation to the candidates that are selected for the negotiation phase 4. Junakalusto Oy holds negotiations with the selected suppliers (approximately 1 - 2 negotiation rounds) C. The final tender phase 5. After the negotiation phase, Junakalusto Oy requests final tenders 6. Junakalusto Oy makes the procurement decision based on the final tenders and in accordance with the evaluation and comparison criteria presented in the final invitation to tender PROCESSING OF THE REQUESTS TO PARTICIPATE - Opening of the requests to participate - Preliminary suitability assessment of the candidates - Selection of candidates for the negotiation phase (see below) SELECTION OF CANDIDATES FOR THE NEGOTIATION PHASE Junakalusto Oy selects up to five (5) candidates to the negotiation phase. If there are more candidates that meet the minimum requirements set in the ESPD than candidates to be selected for negotiation phase, Junakalusto Oy will score the references of the candidates reported in the Annex 2 and select 5 candidates with the highest score to negotiation phase. If there are fewer than five (5) candidates who meet the compulsory suitability requirements, Junakalusto Oy will select all candidates who meet these requirements to proceed to the negotiation phase. NEGOTIATION PHASE During the negotiation phase, Junakalusto Oy holds supplier-specific negotiations with the selected suppliers. The negotiations mainly focus on contract terms and issues crucial for submitting the final tender. PROCESSING OF THE FINAL TENDERS The processing steps for the final tenders submitted after the negotiation phase are as follows: - Opening of final tenders: Final tenders are opened after the deadline for submission. The tender opening session is not public. - Checking whether the tenders comply with the requirements stated in the final invitation to tender. - Evaluating the quality aspects of the tenders. - Evaluating and comparing the price of the tenders. - Comparing the price and quality aspects of the tenders. - Procurement decision based on the evaluation of tenders. - Signing the supply agreement (after the appeal period). OTHER INFORMATION Junakalusto Oy reserves the right to make changes to the procurement procedure regarding the negotiation phase in such way that the negotiated procedure meet the requirements and principals set out in the Finnish Act on Public Procurement (1398/2016). If none of the tenders requested at a later stage complies with the invitation to tender as required by the buyer or the circumstances change during the competitive tendering so that Junakalusto Oy cannot utilize the results of the tendering, Junakalusto Oy can interrupt the tendering procedure. No compensation will be paid to the tenderer for preparing the request to participate / tender or for other participation in the procedure
